Terms of Use – Prime Bank Fintech Limited (LENDEN)

1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the Lenden Mobile Application, website, and all mobile financial services (collectively referred to as the “Services”) provided by Prime Bank Fintech Limited, a company incorporated under the Companies Act, 1994, having its registered office at 4th Floor, Prime Tower, Airport Road, Nikunja-2, Khilkhet, Dhaka-1229, Bangladesh.
Prime Bank Fintech Limited (hereinafter referred to as “PBFTL,” “Lenden,” “we,” “our,” or “us”) operates its digital financial services under the brand name “LENDEN”, functioning under the oversight of Bangladesh Bank.
By downloading, installing, registering, or using the Lenden App or any of its features, you (“User” or “Customer”) acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must not access or use the Lenden App or Services.
2. Definitions
For the purpose of these Terms, the following expressions shall have the meanings assigned to them:
- Account means a registered Lenden Mobile Financial Services account created under your mobile number.
- Customer or User means any individual who registers for or uses Lenden Services.
- PIN refers to the Personal Identification Number selected by the Customer for secure transactions.
- KYC means Know-Your-Customer verification as required under the Money Laundering Prevention Act, 2012 and relevant Bangladesh Bank regulations.
- Regulator means Bangladesh Bank or any authority empowered to supervise mobile financial services in Bangladesh.
3. Eligibility
You must be at least eighteen (18) years old, be a Bangladeshi citizen or legally authorized resident, possess a valid and active SIM registered in your own name, and provide accurate, verifiable information to open a Lenden account.
Lenden reserves the right to reject or suspend any registration containing false, unverifiable, or incomplete information.
4.Account Registration and Security
After successful KYC verification, you will receive access to your Lenden Account, uniquely linked to your registered mobile number. You are solely responsible for maintaining the confidentiality of your PIN, password, and One-Time Password (OTP).
Lenden shall not be liable for any loss or unauthorized transaction caused by your negligence or sharing of credentials. In the event of a lost or stolen device or SIM, you must immediately contact Prime Bank Fintech Limited Customer Service (Hotline: 16365) to block your account and prevent misuse.
5. Services Offered
The Lenden App enables customers to perform mobile financial transactions including cash-in, cash-out, fund transfer, bill payment, merchant payment, remittance, and other services as permitted under applicable regulations. All services are offered under the oversight of Bangladesh Bank and are subject to applicable transaction limits, fees, and usage conditions.
6. Fees, Charges, and Taxes
Applicable charges, service fees, and taxes shall be automatically deducted from your account as per the published schedule. Lenden reserves the right to revise its fees and charges from time to time in compliance with Bangladesh Bank directives, and such revisions shall be notified through the App or official website.
7. Compliance with Laws and User Obligations
You acknowledge that you will comply with the Money Laundering Prevention Act, 2012, the Anti-Terrorism Act, 2009, and all other applicable laws, regulations, directives, and circulars issued by Bangladesh Bank and other competent authorities. You further acknowledge that you will not misuse the App by conducting any prohibited or unlawful activity or transaction.
- The User also acknowledges and agrees to the following:
- The User shall not use this App for any commercial or unauthorized purpose, or for any act contrary to law, morality, or public order.
- The User shall not send, upload, or distribute viruses, malicious software, or any program designed to damage or disrupt the App.
The User agrees to avoid the following activities while using the Lenden App:
- Uploading any fake, obscene, indecent, or misleading photograph or content;
- Engaging in suspicious, deceptive, or fraudulent activities or transactions;
- Providing false, incomplete, or misleading information to Lenden or its authorized agents;
- Attempting to gain unauthorized access to the App, servers, or customer data.
- Any violation of these Terms may result in immediate suspension or termination of your account and may subject you to prosecution under applicable laws of Bangladesh.
8. Access Permissions
To provide full functionality and ensure seamless service delivery, Lenden may request your permission to access specific features or data on your mobile device.
- By using the App, you acknowledge and consent that Lenden may require access to your camera, photos, contacts, GPS location, storage, and device information for the following purposes:
- Access to the camera and photos to capture and upload images required for KYC verification, QR payments, or profile updates;
- Access to contacts to facilitate secure peer-to-peer fund transfers and quick beneficiary selection;
- Access to the GPS location to enable location-based services, detect nearby agents, and share promotional offers in the “Offers” segment based on your geographic area;
- Access to device storage to temporarily store files required for transaction receipts or image uploads.
By allowing access to the GPS location of your device, you authorize Lenden to share customized offers or information relevant to your location. If you deny location permission, Lenden may display generic or default offers instead.
All permissions are used strictly for operational and regulatory purposes. Lenden does not collect or use device data for advertising or tracking beyond the declared use in this policy. You may revoke such permissions at any time through your device’s settings; however, certain features or services may become limited as a result.
9. Lenden’s Responsibilities
Lenden shall ensure that all systems, processes, and data handling activities are operated in accordance with the PBFTL ICT Security Policy 2025 and the Bangladesh Bank ICT Security Guideline v4.0.
While every effort is made to ensure uninterrupted service, Lenden shall not be held responsible for disruptions caused by telecommunication failures, maintenance operations, or events beyond its control. Lenden will make all reasonable efforts to restore services promptly in such cases.
10. Data Privacy
All personal and transactional data are collected, processed, stored, and retained in accordance with the PBFTL Privacy Policy and Data Retention & Disposal Policy 2025, both of which are integral parts of these Terms.
All data is stored within Bangladesh and protected through encryption, secure access control, and restricted data handling protocols. Lenden does not sell or disclose personal information to unauthorized parties.
11. Transaction Authorization
Every transaction initiated using your valid PIN, password, or OTP is considered fully authorized and binding. Once a transaction is completed successfully, it cannot be reversed or refunded except as directed by Bangladesh Bank or a competent authority.
12. Account Suspension or Termination
Lenden reserves the right to suspend or terminate your account, with or without prior notice, if:
- You violate any provision of these Terms;
- Your account is involved in fraud, money laundering, or suspicious activity;
- Your identification or KYC documents are found to be invalid or fraudulent; or
- Required by law or regulatory directive.
Upon termination, any remaining balance will be refunded after verification and deduction of applicable dues.
13. Intellectual Property
All copyrights, trademarks, service marks, software, and content contained in the Lenden App are the sole property of Prime Bank Fintech Limited. You may not copy, modify, distribute, or reproduce any part of the App or use it for any unauthorized purpose without written consent from PBFTL.
14. Limitation of Liability
Lenden shall not be liable for any indirect, consequential, or incidental losses or damages arising from service interruption, unauthorized access, or data breach, unless directly attributable to PBFTL’s gross negligence. Lenden’s liability, in any case, shall not exceed the transaction value or three months of service fees, whichever is lower.
15. Communication
Official communication from Lenden will be made through SMS, in-app notifications, or phone calls from authorized numbers. For customer support, please contact Prime Bank Fintech Limited Customer Service (Hotline: 16365).
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of Bangladesh. Any dispute arising out of or in connection with these Terms shall first be settled amicably. Failing amicable resolution, disputes shall be referred to arbitration under the Arbitration Act 2001, with the venue in Dhaka, and the arbitral decision shall be final and binding.
17. Amendments
Lenden reserves the right to amend or update these Terms from time to time in response to regulatory or operational requirements. Any update will be communicated through the App or official website and will become effective upon publication.
18. Acceptance
By downloading, registering, and using the Lenden App, you confirm that you have read, understood, and agreed to these Terms of Use and the Privacy Policy. Continued use of the App signifies your acceptance of any future amendments.
